MS Project 2002 does not save projects to MPX format; you would need MS Project 98 or 2000 to be able to do that.
You will find on the Internet two small apps that let you convert MPP files to MPX: www.sciforma.com developped MPX2000.EXE, and www.primavera.com also has one.

save the excel file as a Lotus 123 file (.wk1 extension)
then import this file into P3

save ms project file as excel file
map required fields
create an empty p3 file
export schedule data add also activity codes filed
now open this file in excel
copy and paste datas
make sure you export activity id from p3
and all pasted id s are unique
