As Project has stopped any support and development around MPX (MS Project Exchange) format since 1995, the only way to save a MPP file to MPX format is to use either Primavera Corp or Sciforma (www.sciforma.com) file converter; to use Sciforma file converter, you have to have MS project installed on your PC

2 Click the MPX icon in the toolbar of the utility program window, or choose File, Convert an MPX Project to a P3 Project.
3 Enter the name of the Microsoft project to convert in the Project Name field or use the Folders/Drive fields to select it.
The name, number/version, and title of the selected project is displayed. You can also click Overview to review or verify more information about the project
before you convert it.
4 Click OK. In the Convert Project To dialog box, specify a new name for the converted project.
5 Click OK.

I did not got any problem using this convertor...
Are you getting this error message for any project you want to convert or just for one particular project?
In any case verify the followings:
1) the project must be closed when performing the conversion
2) you have the rights to read and write on the project and in the destination folder

Pranab,
either download the converter from www.sciforma.com, it works better than the Primaveras
or have a look at Paul E.Harris site and follow his instructions
